Caja Granada, Caja Murcia, Caixa Penedès y Sa Nostra se fusionan

Los presidentes de las cuatro entidades firmaron ayer en Madrid el contrato por el que se convierten en el cuarto clasificado del sistema de cajas español por fondos propios, con 3.855 millones de euros de Core Capital; el quinto por volumen de negocio, con algo más de 103.433 millones; el quinto, igualmente, por resultados atribuidos, con 228 millones; el sexto por volumen de activos, con 73.055 millones; y el cuarto, por número de oficinas, con 1.703 sucursales.

Los presidentes de Caja Granada, Caja Murcia, Caixa Penedès y Sa Nostra firmaron en Madrid, en la sede de la Confederación Española de Cajas de Ahorros (CECA), el contrato por el que las cuatro entidades constituyen el Sistema Institucional de Protección (SIP), que dará lugar al quinto grupo financiero de cajas por volumen de negocio, al sexto por volumen de activos y al cuarto, por número de oficinas. La firma del contrato del SIP, por el que se creará el grupo líder de referencia en todo el Arco Mediterráneo, se produce después de que los consejos de administración de las cuatro cajas, reunidos simultáneamente en la tarde del pasado miércoles, aprobaran el documento.

Los consejos de administración de las cuatro cajas se habían reunido para aprobar el contrato, tras el pronunciamiento de la comisión ejecutiva del Banco de España que el pasado martes aprobó el plan de integración mediante el SIP, presentado por Caja Granada, Caja Murcia, Caixa Penedès y Sa Nostra. Según la resolución del Banco de España, el proyecto presentado por las cuatro cajas “cumple los criterios de solidez y racionalidad económica que se han de exigir a este tipo de operaciones”. Una vez obtenida la aprobación por parte de la Comisión Ejecutiva del Banco de España, el proyecto de integración fue examinado y aprobado a su vez por la Comisión Rectora del Fondo de Reestructuración Ordenada Bancaria (FROB), puesto que, como se anunció, el plan incluía la suscripción por parte del FROB de participaciones preferentes convertibles en títulos de capital por valor de 915 millones de euros, con el objetivo de reforzar sus recursos propios.

Las condiciones de la operación fueron comunicadas por el Banco de España a la Comisión Europea y notificadas al Ministerio de Economía y Hacienda, conforme a lo dispuesto en el artículo 9.2 del Real-Decreto-ley 9/2009, de 26 de junio, sobre reestructuración bancaria y reforzamiento de los recursos propios de las entidades de crédito.

Con la firma del contrato, las cuatro cajas cumplen con el calendario que se habían fijado y que se inició el pasado día 2 de junio, cuando los consejos de administración de Caja Granada, Caja Murcia, Caixa Penedés y Sa Nostra aprobaron el Protocolo para constituir el SIP que rubricaron, posteriormente, los presidentes de las cuatro entidades el día 7 de junio.
