Iberdrola compra en Estados Unidos PNM Resources

El consejo de administración de Avangrid Inc. (compañía integrada de energía con negocios regulados y operaciones en 24 estados que consolida las operaciones en Estados Unidos de su compañía matriz, Iberdrola), ha aprobado la adquisición de PNM por Avangrid. Esta transacción , que ha sido recomendada por el consejo de administración de PNM, se llevará a cabo a través de una fusión, permitirá a los accionistas de PNM recibir aproximadamente 4.318 millones de dólares en efectivo. El valor de empresa implícito sería de aproximadamente 8.300 millones de dólares considerando una deuda neta más ajustes de aproximadamente 4.000 millones de dólares.

La combinación de Avangrid y PNM, con aproximadamente 4,1 millones de puntos de suministro, base de activos regulados (RAB) de aproximadamente 14,400 millones de dólares, más de 168.000 Km de redes de distribución y transporte y aproximadamente 10,9 GW de capacidad instalada (a 2019), acelerará el crecimiento del Grupo Iberdrola en Estados Unidos.

El acuerdo entre Avangrid y PNM, está sujeto a la aprobación de los accionistas de PNM. Dado que PNM y sus filiales operan en un sector regulado, serán requeridas autorizaciones a nivel estatal (New Mexico Public Regulation Commission y Public Utility Commission of Texas) y a nivel federal (Federal Energy Regulatory Commission, Hart Scott Rodino Clearance, Committee on Foreign Investment in the United States, Federal Communications Commission y Nuclear Regulatory Commission). Se espera que este proceso quede cerrado en 2021.

Ignacio Galán, Presidente del Grupo Iberdrola y Avangrid ha comentado: “La operación es consecuencia de la estrategia que hemos seguido durante más de 20 años: operación amistosa, centrada en negocios regulados y en energías renovables, en países con buena calificación crediticia y estabilidad jurídica y regulatoria y que ofrecen oportunidades de crecimiento futuro».

Nuevo México y Texas son estados conocidos para Iberdrola. En la actualidad cuenta con 1.900 MW renovables y 1.400 MW en cartera, además de haber iniciado la actividad comercial en Texas. Durante más de 15 años, la Fundación Iberdrola financia la cátedra “Rey Felipe VI en Tecnologías de la Información y sus aplicaciones” de la Universidad de Nuevo México.
